Nature of our services

K1 Partners provides deal origination, counterparty search, qualification, introduction and transaction facilitation services. We identify and verify counterparties, make introductions, and coordinate the process between parties and their advisors through to completion.

What we do not provide

K1 Partners is not a bank, a licensed financial services provider, a securities dealer, an investment adviser, a real estate agency, a credit intermediary, a law firm or an accounting practice. Nothing on this website or in our communications constitutes:

• financial product advice, investment advice or a recommendation to buy, sell or hold any asset or security;
• legal, tax, accounting or valuation advice;
• an offer, solicitation or invitation to acquire or dispose of any interest in any entity or asset;
• a guarantee that a counterparty will be found, that a transaction will complete, or that any outcome, return or timeline will be achieved.

All regulated activities forming part of a transaction are performed by appropriately licensed professionals in the relevant jurisdiction. Where a mandate would require a licence we do not hold, we either decline it or work alongside a licensed party, and we say so in writing.

No client relationship without a written mandate

Contacting us, receiving information from us or holding preliminary discussions does not create a client relationship or any obligation on either side. A relationship arises only once an engagement letter setting out scope, fees, confidentiality and the basis of our remuneration has been signed by both parties.

Independence and conflicts

We act for one side of a transaction unless we have disclosed a dual role to both parties in writing and both have accepted it. Our remuneration arrangements are always disclosed to our client before work begins.

Confidentiality

Information shared with us in the course of an enquiry or a mandate is treated as confidential and is not disclosed to third parties without consent, save where disclosure is required by law. Please do not include sensitive commercial details in an initial unsolicited message.

Engagements are governed instead by the law stated in the signed engagement letter, which prevails over this page.
